One of Boston's top Fund Partners is hiring a mid/senior level Associate with over 4 years of experience in fund formation for private equity & venture capital sponsors and their investors. Responsibilities
- Working on fund formation engagements, including drafting and negotiations of limited partnership agreements, subscription agreements and side letter agreements
- Legal review and completion of private placement memoranda
- Drafting general partner and management company arrangements
- Regulatory compliance matters for private equity and venture capital firms and all other documents and processes relevant to fund formation transactions and private equity and venture capital firm clients.
Requirements
- Knowledge of the Securities Act, the Investment Company Act and the Investment Advisers Act
- Must be a self-starter and possess excellent professional judgment and strong work ethic
- 4+ years of fund formation experience preferably at a large law firm
- Admitted to Massachusetts bar
